These Terms of Use (the “Terms”) govern access to and use of U⁺MOSHIMO and all related applications, websites, features and services provided by U⁺Plus Pte. Ltd. (the “Company”, “we”, “us” or “our”) (collectively, the “Service”). By creating an Account, purchasing or starting a Subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, you must not use the Service. These Terms apply where the Service is made available to the User through the Singapore storefront of the applicable App Marketplace. Accessing the Service while temporarily located in another country or region does not by itself change the version of the Terms that apply.
Article 1 (Application and Order of Precedence)
1. These Terms apply to all relationships between the Company and each person who accesses or uses the Service (a “User”, “you” or “your”).
2. The Company may publish or provide separate rules, policies, guidelines, notices, help pages, plan descriptions, purchase disclosures and other terms relating to the Service (collectively, “Additional Terms”). The Additional Terms form part of these Terms.
3. If there is any conflict between these Terms and Additional Terms, the Additional Terms will prevail only in relation to the specific subject matter they address, unless expressly stated otherwise.
4. The Company’s Privacy Policy applicable to the Singapore version of the Service explains how personal data is handled and should be read together with these Terms.
Article 2 (Description of the Service)
1. The Service is a digital vault that enables a User to store Registered Data, designate one or more Recipients, specify which Registered Data may be disclosed to each Recipient, and configure account-level disclosure settings in accordance with the User's instructions and the functionality of the Service.
2. The Service does not independently determine or certify that a User has died, become legally incapacitated, is missing, is uncontactable for any reason or is unsafe. Recorded inactivity and failure to respond to Safety Check are operational triggers used to carry out the User’s pre-configured instructions and do not constitute a medical, legal or factual determination by the Company.
3. The Service discloses information only. It does not transfer legal title, ownership, control or entitlement in relation to money, financial accounts, cryptocurrency, digital assets, property or any other assets.
4. The Service is an information-storage and disclosure service. It is not a will, trust, power of attorney, probate or estate-administration service, and does not replace any document or procedure that must satisfy applicable legal formalities.
5. The Service may use blockchain, distributed-ledger or cryptographic technologies as part of its security, integrity-verification, auditability or workflow architecture. Registered Data itself is not stored on a blockchain. Limited technical records, including cryptographic hashes, timestamps or verification references, may be recorded to support integrity verification, auditability and the detection of unauthorised or unexpected changes.
6. Access to and management of Registered Data are controlled through the User’s Account, authentication controls and other security measures implemented by the Service. Blockchain or related technologies support these protections but do not, by themselves, prevent all unauthorised access, alteration, disclosure, loss or misuse.
7. The Company may add, modify, suspend or discontinue features, plans, interfaces, technical methods or other aspects of the Service, subject to applicable law and any notice obligations stated in these Terms.
For these Terms:
1. “Account” means the account created for a User to access and use the Service.
2. “Registered Data” means information, content or material that a User inputs, uploads, stores, configures, links or transmits through the Service, including messages, notes, instructions, images, documents, structured information, settings and related metadata.
3. “Recipient” means a person designated by a User to receive access to specified Registered Data through the Disclosure Workflow.
4. “Inactivity Period” means the period configured by the User and measured from the User’s last recorded activity through the Service. When that period expires without further recorded activity, the Service begins issuing Safety Checks.
5. “Safety Check” means a request, reminder or notification issued through the Service asking the User to respond and confirm continued activity. It does not constitute an independent determination by the Company that the User is safe, unsafe, incapacitated, missing or deceased.
6. “Final Disclosure Waiting Period” means the additional period configured by the User that begins when Safety Check are initiated. If the User does not respond before that period expires, the Disclosure Workflow may proceed.
7. “Disclosure Workflow” means the technical and operational process through which specified Registered Data may be made available to a designated Recipient in accordance with the User’s configured instructions after the Inactivity Period and Final Disclosure Waiting Period have expired without any response.
8. “Subscription” means a free trial, paid recurring plan or other access entitlement offered through the Service or an App Marketplace.
9. “App Marketplace” means Apple’s App Store or Google Play.
Article 4 (Eligibility and Users Without Full Legal Capacity)
1. The Service is available to individuals of any age and does not impose a general minimum age, except where a specific feature, App Marketplace rule or applicable law requires otherwise.
2. A User who does not have full legal capacity to enter into these Terms, including a minor where parental or guardian consent is legally required, may use the Service only with all consent or authorisation required by applicable law.
3. A parent or legal guardian who permits such use is responsible, to the extent permitted by law, for supervising the User’s use and for obligations arising from that use.
4. The User represents that the User is not using the Service for unlawful purposes and is not a person whose use is prohibited by applicable sanctions, export-control or other mandatory laws.
Article 5 (Account Registration)
1. To use any feature of the Service that requires registration, a User must apply for registration in the manner prescribed by the Company. A service agreement is formed when the Company accepts the application and creates an Account for the User.
2. The User must provide information that is accurate, complete and current, and must promptly update that information if it changes.
3. By applying for registration, the User represents that the User has the legal capacity and authority required to accept these Terms and use the Service. Where applicable law requires the consent or authorisation of a parent, legal guardian or other authorised representative, the User is responsible for obtaining that consent or authorisation before using the Service.
4. The Company may reject an application, suspend registration or cancel an Account where the Company reasonably determines that:
(a) any information provided is false, misleading, inaccurate or incomplete;
(b) the applicant or User has previously materially breached these Terms or has been subject to suspension or termination of an Account;
(c) the proposed or actual use of the Service may violate applicable law, these Terms or the rights of any third party;
(d) the application or Account presents a reasonably identified security, fraud, impersonation, abuse or operational risk; or
(e) registration or continued use of the Service would otherwise be inappropriate for a legitimate legal, security or operational reason.
5. A person must not create, control or use multiple Accounts for the purpose of evading trial eligibility requirements, Subscription limits, Account suspension, usage restrictions or any other limitation imposed through the Service.
Article 6 (Account Security and Authentication)
1. The User is responsible for safeguarding the Account, password, registered email address, device access, authentication methods and any recovery information used with the Service.
2. The User must not share authentication credentials or permit another person to use the Account, except where the Service expressly supports authorised access.
3. The User must promptly notify the Company of suspected unauthorised access, loss of a device used for authentication or any other security incident affecting the Account.
4. The Company may require password resets, re-authentication, multi-factor authentication or other reasonable security measures.
5. Except where caused by the Company’s wilful misconduct, gross negligence or other liability that cannot lawfully be excluded, the Company is not responsible for loss arising from a User’s failure to reasonably secure the Account or authentication methods.
Article 7 (Registered Data and User Responsibility)
1. The User decides what Registered Data to store and remains responsible for its legality, accuracy, completeness, usefulness, currency and suitability for the User’s intended purpose.
2. The User must maintain appropriate independent copies of important information. The Service must not be used as the sole copy of information where loss would cause serious harm.
3. Plan-based limits may apply to the number of Recipients, registered data, documents, storage capacity, file size, content type or other features. Current limits are displayed in the Service.
4. If Registered Data contains personal data, confidential information, intellectual property or other material relating to another person, the User must have a lawful basis and all rights or permissions necessary to store and disclose it.
5. The Company is not required to review or verify Registered Data and does not access, monitor, inspect, review or use its contents in the ordinary course of operating the Service. The Company may take technical or Account-level measures to restrict, preserve or disclose Registered Data where required by applicable law or an enforceable order, or where reasonably necessary to protect the Service without personnel viewing its contents.
Article 8 (Prohibited Registered Data and Conduct)
The User must not use the Service to:
1. violate any law, court order, regulatory requirement or public policy;
2. infringe privacy, confidentiality, intellectual-property or other rights;
3. upload malware, harmful code or content intended to compromise systems or accounts;
4. impersonate another person, misrepresent identity or provide materially false information;
5. harass, threaten, defraud, exploit or unlawfully monitor another person;
6. store or disclose third-party information without lawful authority;
7. gain unauthorised access, probe vulnerabilities, reverse engineer except where legally permitted, scrape, overload or interfere with the Service;
8. evade plan limits, payment requirements, access controls or security measures;
9. resell, sublicense or commercially exploit the Service without written approval; or
10. engage in any other activity the Company reasonably determines creates material legal, security or operational risk.
Article 9 (Recipients and Disclosure Settings)
1. The User may designate one or more Recipients and configure the Registered Data, disclosure scope and other settings applicable to each Recipient through the functionality provided by the Service.
2. Before providing any information relating to a Recipient or another individual, the User must ensure that the User is authorised to provide that information and, where required by applicable law, has provided any necessary notice and obtained any required consent.
3. The User is responsible for ensuring that Recipient information, contact details, the Inactivity Period, the Final Disclosure Waiting Period, the Registered Data assigned to each Recipient and all other disclosure settings are accurate, complete and reasonably up to date.
4. The User must carefully select each Recipient and consider whether that Recipient is appropriate, willing and reasonably able to receive, access, safeguard and lawfully use the relevant Registered Data.
5. The Company does not determine or verify whether a Recipient is an heir, beneficiary, family member, authorised representative or other legally entitled person, and does not determine ownership, authority or entitlement in relation to any Registered Data or asset.
6. The User is responsible for ensuring that each Recipient designation and disclosure instruction is appropriate for the User’s intended purpose and for obtaining independent legal advice where necessary.
7. Any dispute involving a Recipient or another third-party concerning designation, disclosure or alleged legal entitlement is a matter between the relevant parties. The Company does not determine or resolve such disputes except where required by applicable law or an enforceable order.
Article 10 (Safety Check)
1. When the Inactivity Period expires without any recorded activity, the Service may issue Safety Checks through in-app push notifications, email and any other communication channels that may be made available from time to time.
2. A User's failure to receive or notice a Safety Check will not automatically suspend, extend, or otherwise affect the Inactivity Period or the Final Disclosure Waiting Period. Users are responsible for maintaining access to their account and ensuring that notifications from the Service are not disabled or blocked.
3. If the User responds to a Safety Check before the Final Disclosure Waiting Period expires, the Inactivity Period will be reset, and monitoring will continue in accordance with the Service specifications.
4. If the User does not respond before the Final Disclosure Waiting Period expires, the Service may proceed with the Disclosure Workflow in accordance with the User’s configured instructions and the current Service procedures.
5. The User acknowledges that recorded inactivity and non-response are operational triggers only and are not proof of death, incapacity, disappearance, emergency, safety status or any legal status.
Article 11 (Recipient Notification and Access)
1. The Company may notify a Recipient using the contact details provided by the User, either before or when the Disclosure Workflow proceeds. Before disclosure, the Recipient may be informed that Registered Data has been designated for them but will not be able to access it until the Disclosure Workflow permits access.
2. The Company does not independently verify the Recipient’s identity, relationship to the User, authority, capacity or legal entitlement to receive the Registered Data. The User is responsible for ensuring that the Recipient information and contact details provided through the Service are accurate and appropriate.
3. A Recipient may be required to create an Account and use a device supported by the Service before they can access the received Registered Data.
4. The Company may deny, delay, limit or revoke Recipient access where required access steps are not completed, a legal or security concern exists, the information provided appears inconsistent, or access would reasonably risk harm or infringement of rights.
Article 12 (Execution, Delay and Stopping of Disclosure)
1. The Company will make reasonable efforts to operate a Disclosure Workflow according to the User’s settings and the Service specifications then in effect.
2. Disclosure may be automated in whole or in part. The Company is not required to investigate the User’s circumstances or independently confirm death, incapacity, disappearance or other real-world events unless expressly stated in the Service.
3. The Company may delay, suspend, limit or decline disclosure where conditions cannot be reliably assessed; a dispute, complaint or legal restriction exists; disclosure may endanger a person or infringe rights; or technical or security issues make disclosure impracticable.
4. Once Registered Data has been received, copied, downloaded or otherwise accessed by a Recipient, the Company cannot control further use, storage, disclosure or deletion by that Recipient.
5. The Company does not guarantee successful delivery, timely notice, continued Recipient availability, or that a Recipient will open or act on the disclosed information.
Article 13 (No Legal Effect or Professional Advice)
1. Registered Data, including any message, instruction or Recipient designation, does not by itself create, amend or replace a legally effective will, trust, CPF nomination, insurance nomination, Lasting Power of Attorney, Advance Medical Directive, succession instrument or other document or arrangement requiring legal formalities under Singapore law.
2. The Service does not transfer ownership of assets, distribute an estate, access external accounts or determine rights among heirs, beneficiaries, creditors or other persons.
3. The Service does not provide legal, tax, financial, medical, estate-planning or other professional advice. Users should obtain independent professional advice and complete any separate legal documents or procedures necessary to give effect to their intentions.
Article 14 (Blockchain and Integrity Verification)
1. The Service may record hashes, timestamps, transaction identifiers or other verification data on a blockchain or distributed ledger to support integrity checks or auditability.
2. The recording of a hash or other verification data does not prove the truth, legality, ownership, authorship or legal effect of the underlying Registered Data.
3. Blockchain records may be difficult or impossible to alter or erase. The Company may be unable to delete verification records even after Account deletion, although the underlying off-chain Registered Data will be handled under the Privacy Policy and applicable law.
4. Blockchain or distributed systems may be affected by congestion, bugs, vulnerabilities, protocol changes, network interruption or third-party infrastructure. The Company does not guarantee permanent availability or future compatibility with any particular network.
5. The Service does not require the User to hold cryptocurrency, maintain a cryptocurrency wallet or pay blockchain network fees unless the Company expressly introduces and discloses such a feature in the future.
Article 15 (Subscriptions, Plans and Free Trials)
1. The Service may offer Basic, Standard, Premium or other plans on monthly, annual or other billing cycles. Features, limits, prices, taxes, currencies and availability are those displayed in the Service or the applicable App Marketplace at the time of purchase.
2. The Company may offer an introductory free trial. The applicable trial period, eligible plans and eligibility conditions will be displayed before enrolment.
3. Trial eligibility may be limited to one trial per email address or by another reasonable identifier disclosed before enrolment.
4. A valid payment method may be required to start a trial. Unless cancelled before the trial ends, the selected plan will automatically convert to a paid, auto-renewing Subscription at the price and billing cycle displayed before confirmation.
5. The User is responsible for reviewing the purchase screen, renewal date, price, billing cycle and cancellation instructions before confirming a Subscription.
6. The Company may change available plans or prices. Changes to an existing Subscription will take effect only in accordance with applicable law and the rules and notices of the applicable App Marketplace.
Article 16 (Payment, Renewal, Upgrades and Downgrades)
1. Subscriptions are purchased, billed, renewed, cancelled and otherwise administered through the applicable App Marketplace. Payment processing is subject to the payment terms, refund policies, account requirements and other rules of that App Marketplace.
2. A Subscription will renew automatically unless the User cancels it through the applicable App Marketplace before the applicable renewal deadline.
3. The timing of charges, credits, prorated adjustments and changes in entitlement arising from an upgrade or downgrade is determined by the applicable App Marketplace rules and the information displayed to the User before confirmation.
4. Where the User’s current usage exceeds the limits of a selected lower plan, the Service may require the User to select which Recipients, Registered Data or other items will remain available under the lower plan. Items exceeding the new plan limits may become unavailable, restricted or archived in accordance with the information displayed before the downgrade is confirmed.
5. Changes between monthly and annual billing cycles will take effect at the time shown through the purchase interface or the applicable App Marketplace.
6. Refund requests must generally be submitted to and determined by the applicable App Marketplace in accordance with its rules, except where the Company is required by applicable law to provide another remedy.
7. The Company does not collect or store complete payment-card details and does not independently determine whether a payment method is accepted, rejected or charged by the App Marketplace.
8. The User remains responsible for any taxes, communication charges or other costs not expressly included in the Subscription price.
Article 17 (Payment Failure, Grace Period and Expiry)
1. If a Subscription payment fails, the applicable App Marketplace may retry the payment, request that the User update the payment method, apply a billing grace period or account-hold period, or cause the Subscription to expire in accordance with its rules and configuration.
2. The availability and duration of any billing grace period, account-hold period or payment-recovery process are determined through the applicable App Marketplace and may vary or change. The Service may display the subscription status and deadline received from or determined by the applicable App Marketplace.
3. The Company will apply access rights based on the Subscription status made available by the applicable App Marketplace. During a billing grace period or payment-recovery period, access will be determined by the applicable Service rules. Once a Subscription has expired, the User will not be able to access the Service or Registered Data, except for functions expressly provided to renew the Subscription, manage the Account or comply with applicable law.
4. Registered Data will remain stored while the Account remains open, notwithstanding payment failure, a billing grace period, account hold or Subscription expiry, subject to these Terms and the Privacy Policy applicable to the Singapore version of the Service.
5. The User is responsible for updating payment information and resolving payment issues through the applicable App Marketplace. The Company does not control whether the App Marketplace accepts or rejects a payment method or successfully collects a charge.
Article 18 (Intellectual Property)
1. The Service, including its software, interfaces, designs, documentation, trademarks, databases and other materials, is owned by or licensed to the Company and is protected by applicable intellectual-property laws.
2. Subject to these Terms, the Company grants the User a limited, personal, non-exclusive, non-transferable right to access and use the Service for its intended purpose. This right remains effective only while the User is authorised to use the Service and is subject to suspension or termination in accordance with these Terms.
3. All rights, title and interests in Registered Data remain with the User or the relevant rights holder. The Company does not acquire ownership of Registered Data merely because it is submitted to, stored through, processed by or disclosed through the Service.
4. The User grants the Company a non-exclusive, worldwide, royalty-free license, sublicensable only to service providers acting on the Company’s behalf, to host, copy, process, encrypt, convert, transmit, back up, verify, display and disclose Registered Data solely to the extent technically necessary to:
(a) provide, secure, maintain and operate the Service;
(b) carry out the User’s configured instructions and the Disclosure Workflow;
(c) comply with applicable law or an enforceable legal requirement; and
(d) protect the security and integrity of the Service.
This licence does not permit the Company or its service providers to use the contents of Registered Data for advertising, analytics, software development, product testing, or artificial-intelligence or machine-learning model training.
5. The licence granted under paragraph 4 will end when the relevant Registered Data is deleted from the Service, except to the extent that temporary retention in backups or continued retention is required or permitted under the Privacy Policy applicable to the Singapore version of the Service or applicable law.
6. The Company may use feedback or suggestions voluntarily provided by a User to improve or develop the Service without restriction or payment, provided that this does not transfer ownership of the User’s Registered Data or authorise the Company to use the contents of Registered Data for that purpose.
Article 19 (Third-Party Services and App Marketplaces)
1. The Service may depend on cloud hosting, messaging, authentication, telecommunications, payment, blockchain, security, diagnostic or other third-party services.
2. Third-party services are governed by their own terms and privacy policies, and their availability or specifications may change.
3. The Company is not responsible for a third-party service’s acts, omissions, outages or data practices except to the extent responsibility cannot lawfully be excluded or the issue results from the Company’s own breach.
4. Apple, Google and other App Marketplaces are not parties to these Terms unless their own terms state otherwise. Subscription management and refunds may need to be requested directly through the relevant App Marketplace.
Article 20 (Service Changes, Maintenance and Discontinuation)
1. The Company may perform maintenance, updates, security work or feature changes and may temporarily suspend all or part of the Service.
2. Where reasonably practicable, the Company will provide advance notice of material planned suspension or discontinuation. Advance notice may not be possible for urgent security, legal or technical reasons.
3. If the Company permanently discontinues a material paid Service, it will handle remaining prepaid periods and data export or deletion as required by applicable law and App Marketplace rules.
4. The Company is not liable for unavoidable interruption caused by events beyond reasonable control, subject to mandatory law.
Article 21 (Restriction of Use and Termination)
1. The Company may restrict features, suspend an Account, cancel registration or terminate the service agreement where the User materially breaches these Terms; creates legal, fraud, security or safety risk; fails to pay; uses the Service unlawfully; or where action is reasonably necessary to comply with law or protect the Service or others.
2. The Company may act without advance notice where immediate action is reasonably necessary. Otherwise, the Company will provide notice and, where appropriate, an opportunity to cure.
3. The Company may preserve information relating to suspected misconduct where reasonably necessary for security, dispute handling or legal compliance.
4. This Article does not limit rights the User may have under mandatory consumer law.
Article 22 (Cancellation and Account Deletion by the User)
1. The User may cancel a Subscription through the applicable App Marketplace or other designated process. Deleting the app or Account does not necessarily cancel an App Marketplace Subscription.
2. The User may request Account deletion using the method provided in the Service.
3. Cancellation ordinarily stops future renewal but does not automatically end access before the current paid period expires, unless the App Marketplace or applicable law provides otherwise.
4. Cancelling or allowing a Subscription to expire does not delete the Account or Registered Data. Registered Data remains stored while the Account remains open. When the User deletes the Account, associated personal data and Registered Data will be deleted or anonymised in accordance with the Privacy Policy applicable to the Singapore version of the Service, subject to backup cycles and any retention required or permitted by applicable law.
5. On-chain hashes or verification records may remain where deletion is technically infeasible, but the Company will not use them to reconstruct deleted content.
6. Provisions that by their nature should survive termination, including intellectual property, disclaimers, liability, dispute resolution and accrued payment obligations, remain effective.
Article 23 (Privacy and Personal Data)
1. The Company handles personal data in accordance with the Privacy Policy applicable to the Singapore version of the Service, the Personal Data Protection Act 2012 of Singapore and other applicable data-protection laws.
2. Because the Service may contain sensitive or important information concerning the User and third parties, Users must carefully consider what they upload and who they designate as Recipients.
3. Personal data may be transferred to or processed in Japan or other countries in which the Company or its service providers operate. Such transfers will be handled in accordance with the safeguards described in the Privacy Policy applicable to the Singapore version of the Service and applicable data-protection law.
4. The Company may collect, use or disclose information where required or permitted by applicable law, as further described in the Privacy Policy applicable to the Singapore version of the Service.
5. If these Terms and the Privacy Policy applicable to the Singapore version of the Service conflict on a personal-data matter, that Privacy Policy will govern the matter.
1. To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.
2. The Company does not warrant uninterrupted or error-free operation, permanent storage, complete security, successful delivery, compatibility with every device, or that the Service will meet every User’s needs.
3. Security measures reduce but cannot eliminate risks including unauthorised access, malware, human error, device compromise, phishing, network failure and Recipient misuse.
4. The Company does not guarantee that Registered Data is accurate, legally effective or suitable for any particular purpose.
5. Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded or limited under Singapore law.
Article 25 (Limitation of Liability)
1. Nothing in these Terms excludes or limits liability for wilful misconduct, gross negligence, death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.
2. The Company is liable only for direct and ordinary damage that was reasonably foreseeable and caused by the Company’s breach.
3. To the maximum extent permitted by law, the Company is not liable for loss of profit, revenue, opportunity, reputation, data, anticipated savings, indirect damage, special damage, consequential damage or damage arising from a Recipient’s conduct.
4. The Company’s aggregate liability arising from the Service will not exceed the total of the fees actually paid by the User for the Service during the twelve (12) months preceding the event giving rise to the claim.
5. Any exclusion or limitation in this Article is subject to the Unfair Contract Terms Act 1977, the Consumer Protection (Fair Trading) Act 2003 and any other mandatory law of Singapore.
Article 26 (Indemnity for Business or Unlawful Use)
To the extent permitted by law, a User using the Service for business purposes or in breach of these Terms will indemnify the Company against third-party claims, losses and reasonable costs arising from unlawful Registered Data, infringement of rights, unauthorised disclosure or the User’s material breach, except to the extent caused by the Company.
Article 27 (Notices and Communications)
1. The Company may provide notices through the Service, website, registered email address, push notification or another reasonable electronic method.
2. The User must maintain accurate contact information and notification settings.
3. A notice is treated as received when made available in the Service, sent to the registered contact address or otherwise delivered by the stated method, unless mandatory law requires a different rule.
4. User enquiries must be submitted through the contact channel designated by the Company. Current contact: info@u-plus.sg.
1. The Company may amend these Terms where reasonably necessary due to changes in law, the Service, security requirements, business operations or third-party services.
2. The Company will notify Users of material amendments, the effective date and the amended content by a reasonable method before the amendments take effect, except where immediate changes are required by law or urgent security concerns.
3. Where consent is required by law, the Company will obtain consent. Otherwise, continued use after the effective date constitutes acceptance to the extent permitted by law.
4. Amendments will not retroactively deprive Users of accrued rights except where required by law or expressly agreed.
1. The User may not assign or transfer the Account, service agreement or rights and obligations under these Terms without the Company’s prior written consent.
2. The Company may transfer the Service business and related contractual position to an affiliate or successor in connection with a merger, corporate reorganisation, asset transfer or similar transaction, subject to applicable law and privacy obligations.
Article 30 (Severability)
1. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain effective.
2. A failure or delay by the Company to exercise a right does not waive that right.
If these Terms are provided in more than one language, the English version will prevail to the extent permitted by applicable law. Any translation is provided for convenience only.
Article 32 (Governing Law and Jurisdiction)
1. These Terms and any dispute arising out of or in connection with these Terms or the Service are governed by and construed in accordance with the laws of Singapore.
2. Subject to any rights that cannot lawfully be restricted, the courts of Singapore will have exclusive jurisdiction as the courts of first instance over any dispute arising out of or in connection with these Terms or the Service.
3. Before commencing formal proceedings, the parties should attempt in good faith to resolve the dispute through the Company’s designated contact channel, unless urgent or interim relief is required.
